About the Contract Type
A quasi-mandate contract (準委任契約) differs from a contract-for-work agreement that guarantees a completed deliverable. Instead, we commit to performing the engagement diligently based on our professional expertise, refining the specification and iterating as needed to build an optimization engine that fits your real-world operations. This engagement, and any resulting service agreement, is governed by the laws of Japan.
Final invoicing currency, payment method, and tax treatment (including any applicable withholding tax) are confirmed in the individual service agreement.
Intellectual Property
Copyright in the code for the optimization engine component transfers to your company upon your certification that development has succeeded, and payment of the success fee. Conversely, if development success is not certified within the agreed period, you will continue to pay an additional monthly base fee under the quasi-mandate contract. This structure lets both parties pursue development of a system you'll be satisfied with, with confidence on both sides.
